The TaskOpus service provider software ("Program") is operated by TaskOpus Corporation INC, a provincial corporation registered in Ontario, Canada, referred to as "we," "us," or "our". Your usage of this program is contingent upon these conditions, namely the "Terms" and the "Terms of Service". By utilizing the App, you are legally bound by these Terms. Please refrain from using the Application if you do not agree to these terms. This Agreement governs your use of our services and platform intended to facilitate communication between Users through our website located at www.taskopus.ca (the "Site"), and the mobile applications we provide (the "Apps"). Collectively, our services, platform, Site, and Apps are referred to as the "Taskopus Platform". includes TaskOpus websites, applications (mobile or otherwise), software, processes, any services provided by TaskOpus, and If you do not agree to be bound by the Agreement and abide by its terms, you may not access or use the Platform. The provisions of the Agreement are meant to be interpreted in a manner that ensures validity, legality, and enforceability. Any mention of "you" or "your" pertains to individuals accessing, utilizing, or engaging with the Platform, along with their heirs, assigns, and successors. "User" represents any individual or entity that completes the registration process with TaskOpus, agrees to these terms, or uses any services offered through the TaskOpus Platform, including Service Professionals and Consumers. If the Platform is used on behalf of or by an entity, you confirm that you have the authority to legally bind said entity. Your acceptance of the Terms will be seen as acceptance on behalf of that entity. By using the Taskopus Platform, you affirm that you meet the legally required age and have the right, authority, and capacity to enter into and abide by this Agreement. If you enter into this Agreement on behalf of an entity, you affirm that you have the authority to act on behalf of that entity and bind it to this Agreement.
1. Service Description
1.1 Service Provision:
The Program facilitates connections between individuals seeking services (referred to as "Customers/client") and those capable of providing such services- "Service Professional” is a user who registers and utilizes the TaskOpus Platform to offer, provide, receive payment for, or facilitate the provision of professional services. These users are commonly referred to as “pros” within the Platform (referred to as "Service Providers"). TaskOpus does not operate as an employment agency or business, and it is not an employer of any User. We streamline communication, appointment scheduling, and payment processes to enhance interactions between clients and service providers. Through the Platform, Users can offer, search for, and book Tasks. Upon identifying and selecting a Task, the Client can access the specified terms on our Platform to comprehend the scope, schedule, and other details of the Task, including any potential hazards, obstacles, or impediments at the Task location. Once a Task is scheduled via the Platform, the Client and Tasker enter into a legally binding contract for the Task, known as the "Service Agreement".
1.2 Service Agreements:
Any agreements formed between Customers and Service Providers regarding the provision of services exclusively concern those parties. As we are not directly involved in such agreements, we explicitly disclaim any obligation or responsibility for the quality, efficacy, or outcome of the services provided. Our role is solely to facilitate connections between Customers and Service Providers through our platform. Consequently, we do not assume liability for the consequences of their interactions, as our involvement is limited to providing a medium for communication and transaction facilitation.
TaskOpus conducts background checks and screening solely at the time when a professional applies to register on the platform. However, TaskOpus cannot guarantee or represent that a professional's profile and background check screening information are up to date. Additionally, TaskOpus is not obligated to update a professional's background check or profile. By using the TaskOpus platform, and except as expressly set forth herein, the customer agrees to release TaskOpus from any responsibility for any liability or damage that might arise from the service providers' services. TaskOpus is not responsible for the conduct, whether online or offline, of any users and will not be liable for any claims, injuries, or damages arising in connection with any services.
Customers are advised to exercise caution and utilize common sense to safeguard their personal safety and property, particularly when interacting with individuals whom they do not know. In certain states or provinces, specific dollar thresholds may trigger the requirement for state or province-level licensing for projects. It is recommended that customers verify these licensing requirements with the business and the relevant licensing authorities before proceeding with their project. We strongly advise customers to request a copy of the professional's license as a precautionary measure.
The Client acknowledges that if they authorize someone other than themselves to book a Task on their behalf or to be present during Task execution, such individual is appointed as their agent ("Client Agent(s)"). By doing so, the Client grants the Client Agent(s) authority to act on their behalf regarding the specified Task. Client Agents may provide direction or instructions to the Tasker regarding Task performance, and the Tasker may adhere to such directives as if they were provided by the Client. The Client assumes complete and sole responsibility for the actions and omissions of Client Agents.
TASKOPUS, in compliance with applicable laws, obtains reports concerning Service Professionals, which may encompass details regarding criminal convictions or sex offender registration history. Based on the findings of such reports, we reserve the right to restrict, block, suspend, deactivate, or terminate a Service Professional’s account, with or without prior notice. By being a Service Professional, you consent and authorize us to utilize your personal information, including your full name and date of birth, for the purpose of obtaining such reports. Service Professionals also agree to promptly inform us of any significant criminal convictions that arise subsequent to the generation of such reports.
2. User Obligations
2.1 Eligibility:
You warrant and affirm that you are at least the legally required age in your jurisdiction of residence and possess the legal capacity to enter into agreements by utilizing the Application.
Users have the option to access the Platform without registering for an account; however, certain features require the creation of a password-protected Account. By registering or submitting a request, you agree to furnish accurate, current, and comprehensive information. You are obligated to uphold the accuracy of this information at all times. The preservation of your Taskopus password and, if applicable, your Third-Party Site Password, falls exclusively under your purview. All activity conducted on your Account is your responsibility, and any unauthorized use must be promptly reported to Taskopus. Taskopus bears no responsibility for losses arising from unauthorized Account usage. Promptly inform Taskopus of any suspected unauthorized usage or security breaches. Your Account is nontransferable without written consent from Taskopus and adherence to their policies. Unauthorized transfer renders you solely accountable for any ensuing liabilities.
2.2 Account Creation:
You may be required to create an account to access certain features of the Application. You are responsible for all activities conducted using your account and for safeguarding the confidentiality of your login details.
We reserve the right to deny or prohibit the use of a username, email address, or screen name if it is already in use by another person, could be construed as impersonating someone else, belongs to another individual, infringes upon the intellectual property or other rights of any individual, is deemed offensive, or is rejected for any other reason at our sole discretion. Upon completion of registration, you are required to provide specific personal information. You agree that this information will be accurate, truthful, and complete, and you are obligated to promptly update it in the event of any changes. In the event that you provide false, inaccurate, outdated, or incomplete information, or if we suspect that your information is false, inaccurate, outdated, or incomplete, we reserve the right, at our sole discretion, to suspend or terminate your access to any material requiring registration. All personally identifiable information collected, used, and disclosed herein is subject to the terms outlined in the Privacy Policy which indicates TaskOpus’s privacy policy available on the TaskOpus website, subject to any future amendments or updates.
2.3 Compliance:
You acknowledge that you are required to use the Application in compliance with all applicable laws, regulations, and the terms of this Agreement. During the use of the Application, you are prohibited from engaging in any unlawful, fraudulent, or unauthorized activities.
Additionally, you affirm that you possess the legal right, authority, and capacity to enter into this Agreement and to adhere to its terms and conditions. In instances where you are entering into this Agreement on behalf of a company or other organization, you warrant and represent that you have the authority to act on behalf of said entity and to legally bind it to this Agreement.
YOU UNDERSTAND AND CONSENT TO TASKOPUS UTILIZING YOUR INFORMATION TO CONDUCT BACKGROUND CHECKS IN ORDER TO VERIFY YOUR IDENTITY DURING YOUR UTILIZATION OF THE SERVICE.
3. Intellectual Property
3.1 Ownership:
TaskOpus exclusively owns all intellectual property rights associated with the Application, encompassing but not limited to trademarks, copyrights, and trade secrets. A conditional, non-exclusive, non-transferrable ACCESS BASED ON USER ROLE is granted to you for utilizing the Application strictly for its intended purposes. The Application, including all its elements and the content provided therein (such as the Marks, all textual content, graphics, editorial materials, data compositions, graphs, designs, HTML, appearance, photographs, music, sounds, images, software, videos, fonts, information, tools, interfaces, and other content, as well as the selection, organization, enhancement, and any intellectual property rights concerning the above-mentioned materials (collectively “Proprietary Material”)), is the property of TaskOpus, excluding User Generated Content and any content from third-party websites accessible through the Platform. Proprietary Material is safeguarded across all forms, media, and technologies existing now or developed in the future, under both domestic and international copyright, patent, and other intellectual property laws. Unauthorized use of Proprietary Material, beyond what is permitted by this Agreement, is strictly forbidden. The service marks, logos, and trademarks of TaskOpus, including but not limited to TaskOpus and its charitable initiatives, are the sole property of TaskOpus. These Marks are not available for use by Service Providers or any other third parties without TaskOpus's explicit prior written consent.
By utilizing the TaskOpus platform, you explicitly consent to receive communications through various means, including fax, text messages, calls, push notifications, and other reasonable methods, using the contact information you provide. This consent applies even if your details are listed on any "Do Not Call" list. These communications aim to deliver services, manage your account, and address related matters, including appointment notifications and marketing emails. You understand that standard text messaging charges may apply to SMS messages sent by TaskOpus. By consenting to communication, you acknowledge receiving various types of messages, including marketing content, generated by automatic systems on behalf of TaskOpus and/or Professionals. These communications encompass operational updates, promotions, news, and other relevant information. TaskOpus may send confirmation and transactional emails regarding Professional Services, along with Promotional Emails. You can unsubscribe from Promotional Emails at any time.
You agree to notify TaskOpus promptly your contact information changes. You confirm that authorized users on your account have consented to being contacted by TaskOpus. TaskOpus or its service providers may record customer service calls with your consent for quality assurance. You consent to TaskOpus asking your telephone number during communications with Professionals or Requestors. This includes storing call data for legitimate business purposes.
Knowingly providing false information, including but not limited to name, phone number, address, or email address, is a serious and fraudulent matter. It may result in significant costs and damages, including invasion of privacy rights, to TaskOpus, Professionals, and consumers. It may also result in the loss of time, effort, and expense in responding to and pursuing such false information and requests, and may incur regulatory fines and penalties.
4. Limitation of Liability
4.1 Disclaimer:
The Application is provided on an "as is" and "as available" basis without any representations or warranties, express or implied. TaskOpus does not guarantee the Application's availability, reliability, or accuracy. Users assume all risks associated with the use of the Application.
4.2 Liability Limitation:
To the maximum extent permitted by applicable law, TaskOpus shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of the Application or any services provided therein. Engaging with the TaskOpus Platform is done at your own discretion and risk. TaskOpus, along with its affiliates, subsidiaries, parents, and licensors, disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. TaskOpus makes no warranties regarding uninterrupted or error-free service; the content, services, or results obtained through the Platform; service provider qualifications or the completion of services. TaskOpus and its associated entities are not responsible for the actions of any user of the Platform. TaskOpus also does not guarantee the Platform's security against viruses or other harmful components.
a. No Liability: Users agree not to hold TaskOpus or its affiliates, subsidiaries, licensors, employees, officers, directors, or partners liable for any liabilities arising from the use or inability to use the TaskOpus Platform, including but not limited to actions, omissions, or conduct of any user or service provider. Users recognize and accept that TaskOpus is provided under limitations of liability essential to the agreement between the parties. Under no circumstances will TaskOpus or its directors, officers, or employees be liable for any direct, indirect, incidental, consequential, or exemplary damages arising from the use of the Platform.
b. Release: TaskOpus is merely a platform for connecting users and does not take responsibility for the services provided by third-party providers. Users release TaskOpus from any claims, demands, or damages related to third-party service providers. TaskOpus is not liable for any failure or delay in performance caused by circumstances beyond its control, including but not limited to natural disasters, strikes, system breakdowns, or failures by service providers.
c. Additional Disclaimer: The responsibility for the quality of services provided by service providers through the TaskOpus Platform rests solely with the service provider. By using the TaskOpus Platform, users acknowledge the potential risks involved and agree to assume those risks.
d. Indemnification: Users agree to indemnify and hold harmless TaskOpus, its licensors, directors, officers, subsidiaries, affiliates, employees, agents, and vendors from any claims, damages, liabilities, or expenses arising from the use of the TaskOpus Platform, violation of this Agreement, applicable laws, or rights of another. By using the TaskOpus Platform, users agree that the exclusions and limitations of liability outlined in this Agreement are reasonable. If a user does not find these terms reasonable, they should not use the TaskOpus Platform. Users acknowledge that TaskOpus aims to limit the personal liability of its officers, directors, and employees and agree not to bring any claims against these individuals in connection with any disputes, losses, or damages. The limitations of liability and warranties in this Agreement are fundamental elements of the agreement between TaskOpus and its users.
Users’ indemnification obligations are set out below in this Section. Taskopus reserves the right, in its own sole discretion, to assume the exclusive defense and control of any matter otherwise subject to your indemnification. You will not, in any event, settle any claim or matter without the prior written consent of Taskopus.
4.3. Client Indemnification:
As a Client, you are obligated to indemnify, defend, and hold harmless TaskOpus and its Affiliates from any liabilities arising out of (i) your use or inability to use, or your participation in, the Platform; (ii) any breach of the Agreement by you; (iii) your infringement of any law, or rights of any User or third party; (iv) your interaction with any third-party links or websites featured on the Platform; (v) any content you provide to the Platform, including User Generated Content and/or Feedback, especially if such content infringes on third-party intellectual property rights or is otherwise illegal; and (vi) actions or omissions of any Client Agents you appoint.
4.4. service provider Indemnification:
As a service provider, you are required to indemnify, defend, and hold harmless TaskOpus and its Affiliates from any liabilities related to (i) your use or inability to use, or your participation on, the Platform; (ii) your involvement in Tasks, including issues related to performing tasks or receiving payments; (iii) any breach of the Agreement by you; (iv) your violation of laws, or infringement of any User's or third party's rights; (v) any content associated with you, including User Generated Content and/or Feedback, particularly content that may infringe on third-party intellectual property rights or is illegal; and (vi) actions or omissions of any service provider Assistants you employ.
5. Changes and Termination
5.1 Modification:
We reserve the unilateral right, without prior notice, to review, improve, modify, or discontinue, either temporarily or permanently, the TaskOpus Platform or any of its features or content. We shall not be held liable to any party for any modification or discontinuance of the TaskOpus Platform. Additionally, we reserve the sole and absolute discretion to amend, modify, add to, supplement, or delete any terms and conditions of this Agreement at any time, with or without prior notice. Should any future changes to this Agreement be unacceptable to you or render you non-compliant with its terms, you must promptly terminate your use of the TaskOpus Platform. Your continued use of the TaskOpus Platform subsequent to any revision to this Agreement constitutes your irrevocable acceptance of all such changes.
Taskopus reserves the unilateral discretion to modify these Terms of Use at any time by posting the amended Terms of Use on the Sites and Services, with or without additional notice. It is your responsibility to regularly review the information posted on the Sites and Services to ensure timely awareness of such changes
5.2 Termination:
TaskOpus reserves the right to immediately terminate or suspend your access to the TaskOpus website and mobile application without prior notice, for any reason, including but not limited to violation of the Terms of Service, suspected fraudulent or illegal activity, or conduct detrimental to TaskOpus or its users. Upon termination, users must cease all use of the Platform and delete any downloaded or printed materials obtained from it. Any outstanding obligations, including payment, shall survive termination. Users acknowledge that TaskOpus bears no liability for any consequences resulting from termination. Disputes arising from termination shall be resolved according to the Terms of Service. TaskOpus retains the authority to modify this termination policy at any time, with immediate effect upon posting on the Platform.
Taskopus reserves the right to take action, including technical or legal measures, to block or deny your access to the Sites and Services, at its discretion. All provisions of the Terms of Use that should survive termination, including those regarding ownership, warranty disclaimers, indemnity, and limitations of liability, shall remain in effect. Please refer to our Privacy Policy for information regarding data deletion requests following account termination.
6. Governing Law and Dispute Resolution
6.1 Governing Law:
These Terms shall be governed by and interpreted in accordance with the laws of Canada. Specifically, any disputes or claims that arise out of or in connection with this Agreement, including its existence, validity, or termination, shall be adjudicated according to the laws of the Province of Ontario, Canada. The parties commit to resolving any dispute through amicable negotiation first. If a dispute cannot be settled informally, it must be referred to binding arbitration in accordance with the rules of a recognized arbitration organization, to be held in a specified city within Ontario. Each party is responsible for its own costs in the arbitration process. Legal proceedings related to this Agreement must be initiated exclusively in the courts located within Ontario, to which both parties consent as the exclusive venue and jurisdiction.
Miscellaneous: In the event of a breach of these Terms by you, TaskOpus reserves the right to seek all remedies available by law or in equity. Such remedies shall be cumulative and not exclusive. TaskOpus's failure to enforce any part of these Terms at any time does not constitute a waiver of its right to enforce the same or any other part of the Terms in the future. If any provision of these Terms is deemed unenforceable by law, it will be adjusted to the minimum extent necessary to make the Terms valid and enforceable while maintaining their original intent. These Terms are binding and may not be assigned or transferred by you without TaskOpus's express written consent. TaskOpus may assign or delegate these Terms and its rights and obligations without restriction. Compliance with all applicable laws and regulations is the responsibility of the users. No partnership, employment, or agency relationship is created between you and TaskOpus as a result of these Terms or use of the services. TaskOpus, and certain specified parties, shall be intended third-party beneficiaries of these Terms. The governing laws specified herein apply unless mandatory local, state, provincial, or international laws stipulate otherwise based on the location where a Task is performed. This provision aims to determine the governing law for interpreting these Terms and does not grant substantive rights to non-residents to assert claims under such law.
6.2 Dispute Resolution:
Initial attempts to resolve disputes should be through direct contact with TaskOpus's support team. The parties agree to endeavor to settle any dispute, claim, or disagreement directly through consultation and good faith negotiations as a prerequisite to initiating a lawsuit or arbitration. Disputes arising from or related to these Terms shall be resolved through discussion in good faith. If resolution cannot be reached, the parties agree to submit exclusively to the jurisdiction of the Ontario courts for dispute resolution. TaskOpus reserves the right to initiate legal proceedings to protect its intellectual property rights in any competent court.
Except as required by law, the Agreement is governed by Ontario law, without regard to conflict of law principles.
Prohibition of Class Actions and Non-Individualized Relief
Except as otherwise mandated by applicable law, you and TaskOpus consent that any arbitration will be confined to the Claim between TaskOpus (and/or, if applicable, its Affiliates) and you individually. YOU ACKNOWLEDGE AND AGREE THAT YOU AND TASKOPUS ARE EACH WAIVING THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY ALLEGED CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY OTHER FORM OF REPRESENTATIVE PROCEEDING (“Class Action Waiver”). Additionally, unless both you and TaskOpus otherwise consent, the arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding. The arbitrator shall possess no authority to adjudicate or grant relief on any basis other than an individual basis.
7. General Provisions
7.1 Entire Agreement:
This document embodies the complete agreement between user and TaskOpus concerning the Application's use, superseding any prior agreements or understandings. TaskOpus is not liable for any content deletion or the failure to store any materials. TaskOpus reserves the right to modify its general practices at its discretion, with or without notice.
7.2 Severability:
Should any provision of these Terms be deemed invalid or unenforceable, such provision will be limited or eliminated to the minimum extent necessary, and the remainder of these Terms will continue in full force and effect.

8. Mobile Application Usage
a. Mobile Features: The TaskOpus Platform may enable access to services, download of Apps, content uploads, and receipt of messages on your mobile device. Your carrier's normal messaging, data, and other rates and fees may apply. TaskOpus is not responsible for any charges from your carrier. Check with your carrier for details on any fees and charges.
b. App Usage: The use of Apps is subject to the service terms of the mobile device's provider (e.g., Apple iOS or Android).
c. Device Compatibility: TaskOpus is not liable for the use of the Apps on incompatible or unauthorized devices. TaskOpus may terminate your use of the Apps or the TaskOpus Platform if used on such devices.
d. App Store Sourced Application:
The utilization of applications obtained from the Apple App Store is restricted to devices manufactured by Apple Inc. running the iOS operating system and in accordance with the applicable terms of service outlined by Apple Inc. for the Apple App Store.
This Agreement establishes a contractual relationship solely between the end-user and TaskOpus, and not with Apple Inc., except where Apple Inc. is recognized as a third-party beneficiary specifically concerning applications sourced from the Apple App Store.
Apple Inc. bears no responsibility for the provision of maintenance or support services for applications sourced from the Apple App Store.
Apple Inc. assumes no warranty obligations regarding applications sourced from the Apple App Store.
TaskOpus, and not Apple Inc., holds the responsibility for addressing any claims, including but not limited to those pertaining to product liability, regulatory non-compliance, or consumer protection issues, arising from the use of applications sourced from the Apple App Store.
Apple Inc. is not liable for the investigation, defence, settlement, or discharge of claims alleging intellectual property infringement arising from the use of applications sourced from the Apple App Store.
Apple Inc. and its subsidiaries are acknowledged as third-party beneficiaries with the right to enforce the terms of this Agreement concerning applications sourced from the Apple App Store against the end-user.
The end-user is obligated to adhere to all third-party terms and conditions stipulated for the use of applications sourced from the Apple App Store.
Any modifications or amendments to this Agreement must be mutually agreed upon in writing by both the end-user and TaskOpus.
TaskOpus reserves the right to modify, suspend, or terminate the availability of applications sourced from the Apple App Store, with or without prior notice, at its sole discretion.
The end-user acknowledges and agrees that TaskOpus may collect and process personal data as outlined in its privacy policy, which is incorporated herein by reference.
In the event of any dispute arising from or relating to this Agreement, the parties agree to attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts in Ontario, Canada.
9. Service Charges and Payment
9.1 Service Fees:
In the context of the Platform, 'Service Fee'(or with related names) refers to any monetary charge imposed by Taskopus upon a User. Customers will be informed about all service charges through the Application. The Service Provider will not impose any additional fees. All payment transactions are processed through Stripe's payment platform.
9.2 Payment Processing:
TaskOpus facilitates transactions between customers and service providers by offering payment processing services. By using these services, you agree to comply with the applicable terms and conditions related to payment processing.
10. Service Quality and User Conduct
10.1 User Content Responsibility:
You are solely responsible for any content, including reviews and feedback, that you post, send, or transmit through the Application. You must ensure your content does not break any laws, regulations, or infringe on the rights of third parties.
10.2 Moderation of Content:
TaskOpus reserves the right to review, manage, or remove any user-generated content deemed inappropriate, offensive, or in violation of these Terms. While we do not monitor all user-generated content, we are not responsible for its accuracy or authenticity.
10.3 Ownership and Licensing of Content:
By posting content on the Application, you maintain ownership of your intellectual property. However, you grant TaskOpus a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, translate, and distribute your content in relation to the operation and promotion of the TaskOpus platform. This license continues even if you delete your account or content.
11. User Reviews and Content Management
11.1 Responsibility for User Content:
You are solely responsible for all content, including reviews and feedback, that you post, send, or transmit through the Application. You acknowledge that your content must not violate any laws or regulations or infringe upon the rights of any third party.
11.2 Content Moderation:
TaskOpus has the authority to assess, manage, or remove any user-generated content that we deem inappropriate, offensive, misleading, or in violation of these Terms. However, we do not routinely monitor all user-generated content and shall not be held liable for its accuracy or authenticity.
11.3 Content Ownership and Rights:
TaskOpus respects the intellectual property rights of its users. Posting content on the TaskOpus Platform grants TaskOpus a license to use that content. You retain ownership, but provide TaskOpus the right to use, adapt, and distribute the content for the platform's purposes. This license is perpetual and remains valid beyond account deletion.
11.4 Submission Areas and User Interactions:
The TaskOpus Platform encompasses various communication channels and sections, referred to as Submission Areas, which include but are not limited to blogs, message boards, and review segments. TaskOpus explicitly disclaims any responsibility for the content posted in public sections, while reserving the unilateral discretion to publicly display submissions originating from non-public areas. Users are mandated to ensure that their contributions conform to established standards of appropriateness and align with the provisions delineated in this Agreement.
The term "Your Information," as defined herein, encompasses any data provided by users to TaskOpus or fellow users. Users bear sole responsibility for the accuracy and legality of their information, with TaskOpus functioning solely as a passive conduit for its dissemination and publication online. By posting Your Information in Submission Areas, users grant TaskOpus a non-exclusive, worldwide, perpetual license, entitling TaskOpus to modify, reproduce, and distribute such information for the purpose of operating and enhancing the TaskOpus Platform. TaskOpus retains the unilateral right to remove any content at its discretion.
General Practices and User Limits:
TaskOpus reserves the right to institute policies and restrictions governing the utilization of the Platform, encompassing the duration for which reviews are retained, the maximum volume of messages from an account, the length of messages, and access thresholds. These policies may be disclosed or undisclosed and are susceptible to modification at TaskOpus's discretion.
11.5 User Content Permission:
TaskOpus, at its discretion, may permit you to publish, upload, or transmit User Content through the Platform. We affirm not to utilize the contents of private messaging for public advertising purposes. By sharing any User Content on the Platform, you grant TaskOpus a global, irrevocable, perpetual, non-exclusive, royalty-free license, with the right to sublicense, to utilize such User Content for various purposes including promoting, marketing, or advertising the Platform or its services, among other purposes at our discretion. This license bestowed upon TaskOpus shall persist even after your departure from the Platform or deactivation of your Account. TaskOpus does not assert any ownership rights over your User Content. Instead, this agreement does not restrict your rights to utilize and exploit any User Content you elect to share.
You affirm that you bear sole responsibility for all User Content you share on the Platform. You assert that: (a) you are the exclusive proprietor of all User Content you share, or possess all requisite licenses, rights, consents, and permissions to authorize TaskOpus to use your User Content as stipulated in these Terms; and (b) neither the User Content nor its submission, posting, or TaskOpus's utilization of the User Content will infringe, misappropriate, or contravene a third-party's intellectual property rights, privacy rights, or any applicable laws or regulations. TaskOpus reserves the right, although not obligated, to revise or eliminate your User Content at our discretion. It is incumbent upon you to monitor your User Content and ensure its accuracy and compliance with these representations and warranties.
TaskOpus further reserves the right, without prior notice, to delete or restrict access to User Content that we perceive as objectionable, in violation of these Terms, detrimental to the Platform or its users, or for any other reason at our sole discretion.
Content Integrity and Distribution: TaskOpus serves as a conduit for the dissemination and publication of User Content, without providing any warranty as to its accuracy, integrity, or quality. The responsibility for User Content, as well as any content posted by service providers in response thereto, lies exclusively with the creator of said content. TaskOpus exercises no control over, and assumes no liability for, User Content accessible through the Service, and users may encounter content that is inaccurate, misleading, or offensive. Users expressly agree to assume all risks associated with the use of any Content.
While TaskOpus is under no obligation to screen, preview, or monitor User Content, it reserves the right to review and remove any Content that violates these Terms at its discretion. Users acknowledge that the evaluation of risks associated with User Content is their sole responsibility. TaskOpus shall not be liable for any errors, omissions, or damages resulting from the use of any Content. By utilizing the Platform, users waive any claims against TaskOpus pertaining to User Content and release TaskOpus from liability associated therewith.
However, users retain the option to report Content believed to contravene these Terms or involve unlawful activities to TaskOpus's Member Support. It is imperative to note that making false reports may lead to liability for damages payable to TaskOpus, including costs and attorneys' fees. Users uncertain about the legality of an activity are strongly advised to seek legal counsel.
12. Prohibited Conduct
12.1 Acceptable Use Policy:
You explicitly recognize and consent to refrain from participating in any unlawful, abusive, defamatory, discriminatory, harassing, or otherwise objectionable behaviour during your utilization of the TaskOpus Platform. Furthermore, you acknowledge that the Application must not be employed for any illegal or unauthorized activities.
12.2 Respect for Intellectual Property:
You hereby covenant not to violate the intellectual property rights of TaskOpus, fellow users, or any third party. Such commitment entails refraining from utilizing copyrighted, trademarked, or trade-secret protected materials without duly obtained authorization.
12.3 Prohibited Activities:
As a user of the TaskOpus Platform, you are prohibited from engaging in the following activities:
Unauthorized access or utilization of another individual's TaskOpus Account or the deliberate misrepresentation of identity or professional credentials.
Implementation of automated systems, such as robots or spiders, for accessing the TaskOpus Platform without explicit written authorization from TaskOpus, except as allowed for public search engine operators indexing Platform materials.
Inappropriate reproduction or misuse of Platform data or content, whether through manual or automated means, for purposes including but not limited to replication on competitive platforms or third-party sites.
Engagement in activities that may potentially impede the functionality or integrity of the TaskOpus infrastructure, including actions that interfere with its operation or security features.
Utilization of the TaskOpus Platform in a manner intended to bypass or undermine financial obligations owed to TaskOpus or Service Professionals, or to circumvent payment protocols.
Unauthorized gathering, disclosure, or commercial distribution of personal information, as defined by relevant privacy laws, without explicit consent or legal authorization.
Violation of any pertinent statutory provisions or regulatory requirements governing the use of the TaskOpus Platform, encompassing local, state, provincial, national, or international laws.
Failure to adhere to User requests to cease communications via various channels, as may be conveyed directly or through TaskOpus intermediation.
Solicitation or recruitment of Service Professionals or Consumers through any medium for purposes unrelated to the intended scope of the TaskOpus Platform without express consent.
Submission of content or materials through the TaskOpus Platform that contravene established guidelines, including but not limited to content deemed unlawful, harassing, defamatory, or discriminatory.
Advertisement or solicitation of services not aligned with the supported categories or intended functionality of the TaskOpus Platform, including activities inconsistent with Taskopus's business objectives.
Publication of User Content that adversely affects the user experience, including but not limited to links directing Users to external sites or services not endorsed or facilitated by TaskOpus.
Actions aimed at subverting the reliability or accuracy of review or rating systems integral to the TaskOpus Platform's functionality and user experience.
Failure to deliver Professional Services as contracted, barring circumstances where the Consumer fails to fulfil material contractual obligations.
Attempting to impose charges on Consumers for Professional Services already remunerated through TaskOpus, whether by intentional duplicity or circumvention of payment channels.
Engagement in deceptive practices, including fraudulent transactions or solicitation of cash payments or other illicit financial methods prohibited by TaskOpus.
Subscription to or negotiation for Professional Services with the absence of genuine intent to fulfil payment obligations or utilize the services procured.
Assent to procure Professional Services without satisfying the stipulated prerequisites set forth by the Service Professional.
Creation of multiple TaskOpus accounts without explicit written authorization from TaskOpus, with each account being subject to the same terms and conditions.
Attempting to evade mandatory payment protocols stipulated by TaskOpus for transactions facilitated through the Platform.
Non-compliance with relevant legal statutes or regulatory directives applicable to the utilization of the TaskOpus Platform, encompassing all aspects of its usage and engagement.
Endeavouring to circumvent or exploit the terms and conditions associated with a Taskopus for personal gain or undue advantage.
Participation in activities or conduct inconsistent with the overarching objectives or intended purpose of the TaskOpus Platform, including but not limited to actions undermining its integrity or reputation.
13. Links and Third-Party Services
13.1 Third-Party Links:
The TaskOpus Application may facilitate links to or integration with services and websites operated by third parties. TaskOpus neither endorses nor assumes responsibility for the content, accuracy, or functionality of these third-party services. Your engagement with such services shall be subject to their individual terms and privacy policies. Accessing third-party sites is undertaken at your own risk. TaskOpus explicitly disclaims any liability associated with your utilization or visitation of any third-party sites, and you consent to indemnify TaskOpus against any liabilities arising from third-party sites.
13.2 Independent Service Providers:
Service Providers engaged via the TaskOpus Application function autonomously and are not deemed as TaskOpus employees or agents, but rather as independent contractors or individuals. Your interaction with Service Providers is undertaken at your own volition and entails inherent risks, as TaskOpus bears no responsibility for their conduct or oversights.
14. Compensation:
Compensation terms and condition will be provided as per the sole discretion of Taskopus corporation INC.
15. Policy on Violations and Account Management
15.1 Sanctions for Violations:
TaskOpus retains the authority to undertake any lawful action in response to any breach of these Terms or any other contractual agreement with TaskOpus. Such actions may encompass, but are not restricted to, the removal of User Content, restriction of account privileges, forfeiture of funds, imposition of penalties, account termination, and collaboration with law enforcement agencies in investigative proceedings. By agreeing to these Terms, you acknowledge TaskOpus's prerogative to enforce its rights and remedies in the event of non-compliance, reinforcing the platform's commitment to upholding legal standards and ensuring user accountability.
15.2 Account Suspension or Termination:
At its sole discretion, TaskOpus reserves the right to suspend or terminate your account at any time and for any reason, without prior notice. Such actions may result in the loss of access to the Platform, including your User Content and TaskOpus support services. Furthermore, TaskOpus reserves the right to notify other users of your account termination and may decline to provide compensation for any services impacted by such termination. Should you wish to terminate your account, you may do so through your profile settings; however, please note that TaskOpus is not obliged to delete or return any content posted on the Platform upon account termination.
16. Feedback and Submissions:
TaskOpus highly values user feedback on its Sites and Services. However, it is essential to clarify that TaskOpus does not accept unsolicited creative ideas, suggestions, or materials unless specifically requested. In the event that users send such submissions, TaskOpus must assert its rights to ownership over them, and users should understand that TaskOpus will not be liable for any future use or disclosure of such submissions. Users providing feedback, comments, questions, or suggestions ("Feedback") must ensure they have the right to disclose it, that it does not violate any third-party rights, and that it does not contain confidential or proprietary information. By providing Feedback, users grant TaskOpus an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to utilize, modify, create derivative works, publish, distribute, and sublicense the Feedback. Furthermore, users irrevocably waive any moral rights associated with the Feedback against TaskOpus and its Users. This Feedback provision remains in effect even after termination of the user's Account or the Platform.
